These Terms and conditions (the “Terms”) govern the use of xDomenii.ro and all related services (marketplace, offers, auctions, protected payment, parking pages, statistics and automatic appraisal). By creating an account or using the services, you confirm that you have read, understood and accepted them.
1. Who we are
The xDomenii.ro platform (the “Platform”, “we”) is operated by Greathost Web SRL, tax code 42858795, Trade Register no. J01/751/2020, registered office: Str. Vasile Goldiș, Nr.20, Alba Iulia, jud. Alba, 510006, România, e-mail contact@xdomenii.ro , phone 0750 444 434.
Single point of contact under Articles 11-12 of Regulation (EU) 2022/2065 (Digital Services Act - “DSA”) for authorities and users: contact@xdomenii.ro . We communicate in Romanian and English.
2. Definitions
- User - anyone accessing the Platform, with or without an account.
- Seller - a user who lists a domain name for sale or parks it on the Platform.
- Buyer - a user who makes an offer, bids on or buys a domain.
- Consumer - a natural person acting for purposes outside their trade, business, craft or profession.
- Trader - a natural or legal person acting for purposes related to their trade, business or profession.
- Domain - the right to use a domain name registered with a registrar or registry (e.g. ROTLD for .ro) that is the subject of a listing.
- Listing - the presentation of a Domain for sale on the Platform, at a fixed price, open to offers or at auction.
- Transaction - the process by which a Domain is paid for by the Buyer and transferred by the Seller through the Platform.
- Protected payment - the mechanism by which the price paid stays on hold until the Domain transfer is confirmed (section 12).
- Payment processor - Stripe Payments Europe, Ltd. and its affiliates (“Stripe”), which process payments and hold Sellers’ payment accounts.
- Authorization code - the code (EPP / auth code / ROTLD transfer key) required to transfer a Domain.
- Parking page - the page shown to visitors of a Domain whose DNS records point to the Platform.
3. Acceptance and changes
You must be at least 18 years old and have full legal capacity to create an account. If you use the Platform on behalf of a company, you confirm you are authorized to represent it.
We may amend these Terms for legal or security reasons or to reflect changes in our services. We will notify you by e-mail and in your account at least 15 days before changes take effect (except where required by law or to address a security risk). If you disagree, you may close your account free of charge before the changes take effect. Transactions already started continue under the Terms in force when they began.
4. Role of the platform
xDomenii.ro is an online intermediation service. We connect Sellers and Buyers, technically verify control over Domains (section 7) and facilitate protected payment and transfer.
- We are not a party to the sale contract. It is concluded directly between Seller and Buyer when an offer is accepted, an auction ends with a winner or a fixed-price purchase is confirmed.
- We do not own the listed Domains and are not a domain registrar or registry. Registration and transfer are governed by the rules of the relevant registrar and registry (e.g. ROTLD rules for .ro, ICANN policies for generic extensions).
- We do not receive or hold sale proceeds in our accounts. Payments are processed by Stripe directly into the Seller’s payment account, where they stay on hold until released (section 12). We only retain our fee.
5. User account
- You are responsible for keeping your account data (including billing details) accurate and up to date.
- Keep your password confidential; we recommend enabling two-factor authentication. Notify us immediately at contact@xdomenii.ro of any unauthorized use.
- You may not transfer your account or create multiple accounts to circumvent a restriction or bid on your own Domains.
- Some actions (bidding, buying) require a confirmed e-mail address.
6. Private and professional sellers
When setting up their account and payouts, each Seller declares whether they act as a private individual (consumer) or as a trader (company, sole trader, etc.). We display this information to Buyers on each Domain page.
Important for Buyers: if the Seller is a private individual not acting as a trader, the consumer rights provided by EU law (including the right of withdrawal under Romanian GEO 34/2014) do not apply to your contract with that Seller. However, Protected payment and the dispute procedure (section 14) apply to all Transactions.
Trader Sellers are responsible for their obligations towards consumers (information, warranties, invoicing, right of withdrawal) and for their own tax obligations.
7. Listing domains and ownership verification
Before a Domain is listed, the Seller proves control by adding a unique DNS TXT record generated by the Platform. We re-check this record periodically (about every 24 hours). If the record is missing for 3 consecutive checks, the Listing is suspended automatically. If another user later proves control over the same Domain, the earlier Listing is suspended.
By listing a Domain, the Seller warrants that:
- they are the registrant or are authorized by the registrant to sell and transfer the Domain;
- the Domain is not subject to litigation, a UDRP or similar dispute procedure or an authority’s measure, and is free of third-party rights;
- the Domain does not infringe intellectual property rights (in particular registered trademarks) and was not registered or used in bad faith;
- they will keep the Domain registered (including renewals) throughout the Listing and Transaction and will not sell it elsewhere without first withdrawing the Listing;
- the Listing information (price, description, category) is accurate and not misleading.
The Seller may change or withdraw a Listing at any time, except for Domains with a Transaction in progress or an auction with bids.
8. Parking pages
The Seller may point the Domain to the Platform using the DNS settings shown in the account. Visitors see a Parking page with the chosen design, the price (optional) and an offer form. Parking pages show no ads and use no cookies. Visits are measured in aggregate without storing IP addresses (see the Privacy policy). Content entered by the Seller on the Parking page must comply with section 17.
9. Offers and negotiation
- An offer sent without an account becomes visible to the Seller only after the Buyer confirms their e-mail address.
- Negotiation takes place in turns (offer, counteroffer, acceptance, rejection or withdrawal), exclusively through the Platform.
- An accepted offer or counteroffer is a binding sale agreement at the accepted price and automatically creates a Transaction.
- A negotiation with no activity for 14 days expires automatically; the period restarts with each reply.
- For safety, contact details (e-mail, phone, links, messaging handles) are automatically hidden from messages. The Buyer’s contact details are not shown to the Seller.
10. Auctions
- Proxy bidding. Bidders enter the maximum they are willing to pay; the Platform bids on their behalf only as much as needed to keep the lead, using the displayed increments. Each bidder’s maximum is confidential. With equal maximums, the earlier bid wins.
- Reserve price. The Seller may set a confidential minimum price; if the final bid does not reach it, the Seller is not obliged to sell.
- “Buy now”. If available, it ends the auction immediately at the displayed price. It disappears after the first bid that meets the reserve price.
- Anti-sniping extension. A bid placed in the last 5 minutes extends the auction by 5 minutes.
- Bids are binding and irrevocable. The winner must pay and the Seller must transfer the Domain if the reserve price was met.
- The Seller may cancel an auction only while it has no bids. We may cancel an auction in case of fraud, serious technical error or breach of these Terms; all participants are notified.
- Bidding on your own Domains, directly or through other accounts (“shill bidding”), is prohibited and leads to closure of the accounts involved.
11. Fixed-price purchases
For fixed-price Listings, the “Buy now” button creates a Transaction at the displayed price. The Domain is then reserved for you. If you do not pay within the stated period (section 12), the Transaction is cancelled automatically and the Domain returns to the marketplace.
12. Transactions and protected payment
- Payout setup. To receive money, the Seller connects a Stripe payment account (Stripe Connect). Stripe verifies the Seller’s identity under its own terms. If the Seller does not complete setup within 7 days of the Transaction being created, it is cancelled.
- Payment. The Buyer pays the full price by card on Stripe’s secure page within 72 hours of the Transaction being created (or of the Seller becoming able to receive payments). We do not store card data.
- Funds on hold. The amount paid goes to the Seller’s Stripe payment account but remains on hold; the Seller cannot withdraw it until release.
- Transfer. After payment is confirmed, the Seller starts the Domain transfer (section 13).
- Release. Funds are released to the Seller’s bank account when the Buyer confirms receipt of the Domain or automatically 5 days after the transfer was marked as started, if the Buyer has neither confirmed nor opened a dispute in the meantime.
- Payouts to the bank account follow Stripe’s settlement (usually a few business days after payment) and may be subject to Stripe’s checks.
The sale contract between Seller and Buyer is deemed performed when the Transaction is completed on the Platform.
13. Domain transfer
- The Seller unlocks the Domain at the registrar, obtains the authorization code and enters it on the Transaction page, where only the Buyer can see it. The code is stored encrypted.
- For .ro Domains, the transfer involves a change of registrar and/or registrant under ROTLD procedures, using the authorization key.
- For generic extensions, registrar or ICANN restrictions may apply (e.g. a 60-day transfer lock after registration or a previous transfer). The Seller must check and disclose such restrictions before listing.
- The Buyer must hold or create an account with a registrar and follow the steps to accept the transfer.
- The Seller will not change DNS records or use the Domain after starting the transfer, unless the Buyer asks.
14. Disputes, cancellations and refunds
- Dispute. While funds are on hold, the Buyer may open a dispute from the Transaction page (e.g. if the Domain was not transferred). Funds stay on hold until resolution.
- Resolution. We review the information from both parties and the available technical checks (e.g. public registration and DNS data). We may release the funds to the Seller or refund the Buyer, and we communicate a reasoned decision to both. Our decision does not prevent the parties from going to court.
- Cancellation by the Seller. The Seller may cancel before starting the transfer; if payment was made, the Buyer is refunded in full.
- Refunds are made to the card used, for the full amount paid, including our fee. Timing depends on the bank (usually 5-10 business days).
- Chargebacks. Disputing a legitimate payment with your bank after receiving the Domain may lead to account suspension and legal recovery of the amounts.
15. Fees, taxes and invoicing
- Creating an account, listing and parking Domains are free.
- For each completed Transaction, the Seller owes a fee of 10% of the sale price, with a minimum of €50 for Transactions in euro. The fee is deducted automatically from the Buyer’s payment.
- The Payment processor deducts its own processing fees from the Seller’s amount, according to Stripe’s pricing.
- We issue the invoice for our fee to the Seller, using the billing details in the account, and submit it to the Romanian RO e-Factura system where required by law. Invoices are available in the account under “Invoices”.
- The Seller is responsible for their own tax obligations on income from Domain sales and, if a trader, for invoicing the Buyer.
- Circumventing the Platform after the parties came into contact through it (e.g. completing the sale outside the Platform) does not release the Seller from paying the fee.
16. Consumer right of withdrawal
xDomenii services. The account and listings are free. The fee is due only for completed Transactions, i.e. for a service fully performed with your express consent; the right of withdrawal therefore no longer applies to it (Art. 16(a) of Romanian GEO 34/2014).
Buying from a trader Seller. If you are a consumer buying a Domain from a trader Seller, you may withdraw from the contract within 14 days without giving reasons. For the transfer to start before that period ends, at payment we ask for your express consent and acknowledgement that you lose the right of withdrawal once the contract is fully performed, i.e. once the transfer is completed. Until then you may withdraw by notifying the Seller via the Transaction page or at contact@xdomenii.ro .
The right of withdrawal does not apply where the Seller is a private individual not acting as a trader (section 6).
17. Prohibited conduct
It is prohibited to:
- list Domains you do not control or that infringe others’ rights, especially registered trademarks (“cybersquatting”);
- publish, including on Parking pages, illegal, misleading, defamatory, discriminatory or pornographic content or content inciting violence;
- use Domains or the Platform for phishing, malware, spam or fraud;
- manipulate auctions or statistics (multiple accounts, automated traffic, fake bids);
- circumvent the Platform to avoid the fee or Protected payment, including by disguising contact details;
- access the Platform by automated means without our consent, attempt to compromise its security or overload it;
- harass other users or use abusive language.
18. Content moderation and reports
- Reporting. Anyone may report content they believe is illegal or contrary to these Terms (e.g. a Domain infringing a trademark or a fraudulent listing) using the Report form. The notice must include the exact location (URL), a substantiated explanation, the notifier’s name and e-mail and a statement of good faith. We acknowledge receipt and communicate our decision.
- Measures. We may remove or suspend a Listing, Parking page or message, restrict account features or suspend the account. We also use automated means (DNS verification, filtering contact details from messages) under human supervision.
- Statement of reasons. When we restrict content or an account, we inform the affected user of the reasons, the legal or contractual basis and the available redress, unless prohibited by law.
- Complaints. You may challenge any decision within 6 months by writing to contact@xdomenii.ro . Complaints are reviewed by a person, not solely by automated means.
- We may temporarily suspend persons who repeatedly submit manifestly illegal content or manifestly unfounded notices.
19. Ranking of listings
In line with Regulation (EU) 2019/1150 and the DSA, the main parameters determining the order of Listings are:
- In the domain list, the default order is listing date (newest first). Users may sort by price, length or alphabetically and filter by extension, category, sale type, price and length.
- Auctions are ordered by default by end time (ending soonest first).
- The “Featured domains” section on the home page contains Domains selected editorially by our team. We currently offer no paid placements; if introduced, they will be clearly marked.
- We do not use recommender systems based on user profiling.
20. Automatic appraisal and statistics
A Domain’s estimated value is calculated automatically from the name’s characteristics, extension, age, traffic and comparable sales. It is indicative only: not an offer, guarantee or professional valuation report; the final price is set by the parties. Traffic statistics are approximate (e.g. known bots are excluded automatically).
21. Intellectual property
The Platform, its design, code, trademarks and editorial content belong to us or are used under license. You grant us a non-exclusive, free license, valid for the duration of the Listing, to display the content you enter (e.g. descriptions) for the purpose of providing the services. You remain the owner of that content.
22. Liability
- We make reasonable efforts to keep the Platform running securely and continuously but cannot guarantee it will be uninterrupted (e.g. maintenance, supplier failures).
- We are not liable for the acts of registrars, registries, the Payment processor or other third parties, nor for the contract between Seller and Buyer beyond our intermediation obligations described in these Terms.
- Towards trader users, our total liability for a Transaction is limited to the fee received for that Transaction, except for damage caused intentionally or by gross negligence.
- Nothing in these Terms limits consumers’ statutory rights or our liability for fraud, gross negligence or death or personal injury.
- Each user is liable towards us and other users for damage caused by breaching these Terms, including by listing Domains that infringe third-party rights.
23. Suspension and termination
- You may close your account at any time by writing to us. Transactions in progress must be completed or cancelled first.
- We may restrict, suspend or close an account for breach of these Terms or the law, fraud, security risk, non-payment or at an authority’s request. For trader users, permanent termination is notified with reasons 30 days in advance, except for serious or repeated breaches, legal obligations or fraud risks.
- Suspension does not affect obligations that arose earlier (e.g. concluded Transactions or fees due).
24. Personal data
We process personal data according to the Privacy policy. Cookie information is in the Cookie policy.
25. Force majeure
Neither party is liable for failure to perform caused by force majeure or a fortuitous event under Article 1351 of the Romanian Civil Code, including unavailability of domain registry or Payment processor systems not attributable to that party.
26. Governing law and disputes
- These Terms are governed by Romanian law. Mandatory consumer protection rules of your country of residence remain applicable.
- We try to resolve any complaint amicably. Write to contact@xdomenii.ro ; we reply within 30 days.
- Consumers may use alternative dispute resolution (ADR/SAL) under Romanian GO 38/2015 and may contact the National Authority for Consumer Protection (anpc.ro).
- Disputes not resolved amicably fall under the jurisdiction of the Romanian courts at our registered office; consumers may also bring proceedings in the courts of their domicile.
27. Final provisions
- The contract with us is concluded in Romanian by accepting these Terms when creating the account and is archived electronically. The version in force is always available on this page.
- Before any action with legal effect (offer, bid, payment), the Platform shows a summary and asks for confirmation, so you can identify and correct input errors.
- If any provision is held invalid, the remaining provisions stay in force.
- We may assign our rights and obligations to an entity taking over the Platform, with prior notice to users.
This translation is provided for convenience. In case of any discrepancy, the Romanian version prevails.
